Terms of Service

These Terms of Service govern your access to and use of the BasisTrail website, iOS app, dashboard, AI features, and related services. By using BasisTrail, you agree to these Terms.
1. Eligibility and account responsibility
You must be at least 18 years old and legally capable of entering into a binding contract. You are responsible for all activity under your account, all configuration choices you make, and the security of your sign-in methods and connected read-only sources.
2. What BasisTrail is
BasisTrail is a read-only portfolio intelligence and reconciliation tool. It aggregates and explains data from supported sources, including broker exports and public blockchain wallet views, and presents that information through software interfaces and AI-generated summaries.
3. What BasisTrail is not
- Not a broker, exchange, custodian, wallet provider, or execution venue.
- Not an investment adviser, tax adviser, accountant, or legal adviser.
- Not a guaranteed system of record for taxes, audits, or compliance filings.
- Not a substitute for brokerage statements, on-chain verification, or official financial records.
4. Read-only nature and source limitations
BasisTrail is designed so that it does not place trades, move funds, sign transactions, or request private keys or brokerage passwords. Even so, the service depends on third-party data quality and may surface incomplete, delayed, stale, or incorrect information. You remain solely responsible for verifying any financial conclusion before acting on it.
5. Accuracy disclaimer
Market data, transaction classification, cost-basis reconstruction, FX conversion, AI output, and synchronization status can be wrong. BasisTrail makes no guarantee that any figure, explanation, chart, allocation, gain/loss number, tax-related view, or AI-generated output is accurate, complete, current, or fit for your intended purpose. Any reliance on the service is at your own risk.
6. AI-specific terms
- AI features are explanatory only and may hallucinate, omit context, or present incorrect inferences.
- AI output is not financial, legal, tax, or accounting advice.
- You must independently verify all material numbers and conclusions.
- We may limit, suspend, meter, or modify AI features at any time to protect service quality, safety, or economics.
7. Acceptable use
You agree not to misuse BasisTrail. This includes attempting to reverse engineer the service, bypass entitlements or credits, scrape or exfiltrate data beyond normal usage, upload malicious content, interfere with infrastructure, impersonate others, connect sources you do not control or have authorization to view, or use the service in violation of law or third-party rights.
8. Plans, billing, and commercial terms
- Paid access, when enabled, may be sold through our website and related checkout flows.
- Subscriptions may renew automatically unless cancelled before renewal.
- We may change plan scope, pricing, feature packaging, usage limits, and fair-use controls for future billing periods.
- Credits, allowances, and fair-use controls exist to protect service economics and platform stability.
- Refunds are offered only where required by law or explicitly granted by us or our merchant-of-record/payment provider.
- “Lifetime” or founder plans, if offered, refer to the operational life of the product, not your natural lifetime.
9. Third-party services and dependency risk
BasisTrail depends on third-party services, including authentication providers, AI providers, cloud hosts, data sources, public blockchain infrastructure, pricing feeds, email providers, and billing platforms. We do not control those services and are not responsible for their outages, pricing changes, policy changes, inaccuracies, suspensions, security incidents, or discontinuation.
10. Intellectual property
The BasisTrail brand, software, design, content, and product logic are owned by BasisTrail or its licensors and are protected by applicable intellectual-property law. Except for the limited right to use the service under these Terms, no license is granted to copy, resell, redistribute, modify, or create derivative commercial products from BasisTrail without permission.
11. Your data and content
You retain your rights in your underlying portfolio data and materials. You grant us a limited, non-exclusive right to process that data solely as necessary to provide, secure, support, and improve the service, subject to the Privacy Policy. You represent that you have the right to connect and use the data sources you add.
12. Suspension and termination
We may suspend, restrict, or terminate access at any time if we believe it is necessary for security, fraud prevention, infrastructure protection, legal compliance, payment failure, policy enforcement, or misuse of the service. You may stop using the service at any time and may delete your account through supported flows.
13. Service availability and product changes
BasisTrail is provided on an “as available” and “as is” basis. We may add, remove, redesign, pause, or discontinue features at any time. We are not obligated to continue any feature, data source, plan, AI model, integration, or pricing tier indefinitely.
14. Warranty disclaimer
To the maximum extent permitted by law, BasisTrail disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, reliability, and accuracy. We do not warrant uninterrupted service, bug-free operation, secure transmission free from all threat, or suitability for regulated or mission-critical financial workflows.
15. Limitation of liability
To the maximum extent permitted by law, BasisTrail and its operators, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost opportunity, trading loss, tax loss, reputational harm, data loss, or loss arising from reliance on AI output or reconciliation results. Our aggregate liability for any claim relating to the service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 50.
16. Indemnity
You agree to indemnify and hold harmless BasisTrail and its operators from claims, losses, liabilities, damages, and reasonable expenses arising from your misuse of the service, your violation of these Terms, your connected data sources, or your violation of law or third-party rights.
17. Export controls, sanctions, and compliance
You may not use BasisTrail where doing so would violate applicable sanctions, export controls, anti-money-laundering obligations, or other laws. We may restrict access where required for legal or compliance reasons.
18. Governing law and disputes
These Terms are governed by the laws of the operator's principal jurisdiction, without regard to conflict-of-law rules, except where mandatory consumer laws provide otherwise. Any dispute must be brought on an individual basis and not as part of a class or representative action, to the maximum extent permitted by law.
19. Changes to these Terms
We may revise these Terms from time to time. When changes are material, we may update the date above and provide additional notice where appropriate. Continued use after the effective date means the revised Terms apply.
